Anthropic has filed to go public. The Claude maker said on Monday that it submitted a Form S-1 registration statement to the U.S. Securities and Exchange Commission for a proposed initial public offering of its Class A common stock. The company shared the news on X at around 6:35 PM IST and in a short announcement on its website.

According to Anthropic, the stock will be listed on the Nasdaq Global Select Market under the ticker "ANT." The company has not yet set how many shares it will sell or a price range. Goldman Sachs and Morgan Stanley are named as the banks handling the prospectus. The registration statement has not become effective yet, so no shares can be sold until the SEC signs off. CNBC reports that Anthropic first filed confidentially in June, which let the SEC review its numbers before they were made public.

The S-1 filing itself gives the first detailed look at Anthropic's finances. It shows revenue of $41 million in 2023, $386 million in 2024 and $4.6 billion in 2025. For the six months ended June 30, 2026, revenue was $16.3 billion, up from $1.2 billion a year earlier.

The company is also losing a lot of money on paper. The filing lists a net loss of $42.0 billion for 2025 and $80.7 billion for the first half of 2026. Most of that is not cash spent on running the business. Anthropic says $72.4 billion of the first half loss came from changes in the fair value of convertible notes and similar instruments, driven mostly by its rising valuation. The filing puts the operating loss for the same six months at $693 million.

Control of the company is set up in an unusual way. Anthropic is a public benefit corporation, and the filing says its Long-Term Benefit Trust will elect directors who make up a majority of the board through a special Class T stock. A separate single share of Class F stock will go to an LLC formed by the co-founders, including CEO Dario Amodei and President Daniela Amodei. That share carries 50.1% of the voting power on most shareholder matters, but no economic rights.

The filing also says Anthropic had about 5,300 employees as of September 30, up from about 940 at the end of 2024. It claims that over 90% of contributions to its codebase in September 2026 were written by Claude. OpenAI and Google are the only competitors it names directly, as CNBC noted.

The offering could be one of the largest ever. The Associated Press wrote that it could be the biggest IPO in history, while CNBC pointed to Wall Street worries about AI infrastructure spending as the backdrop. Neither outlet gave a confirmed valuation or listing date, and Anthropic has not shared either at the time of this writing.

For now, the key details that buyers would care about most, the share count and price, are still blank in the filing. Those are expected in a later amended version before the stock starts trading.
